01The agreement
These terms are between you and LoudOwls, which operates DeskTick. By creating an account or using the service you agree to them, and to the privacy policy.
If you use the service for a company, you are agreeing on its behalf and you confirm you are allowed to.
02Your account
You must be at least 18. Give accurate details, keep your sign-in to yourself, and tell us if you think somebody else has got in. One person, one account: an account is not to be shared or sold.
03Developer profiles
A profile has three kinds of thing on it, and they are kept apart: what was recorded by the service, what another service such as GitHub attests, and what you declare yourself.
What you declare — your headline, bio, skills, history and the projects you describe — must be true and yours to share. Do not publish an employer's confidential information.
What was recorded — hours, sessions, commits, pull requests, the dates of an engagement — cannot be edited by you, by a company or by us. You decide whether each engagement is shown.
Medals and levels are computed from the record by fixed rules. They are not granted, sold or transferred, and we may correct them if they were earned by cheating.
04Workspaces
A workspace belongs to the company that created it. Its owner decides who is a member, what is tracked, and what happens to its content, and is responsible for having the right to collect what it collects about its people.
For the personal data of its people that we handle in a workspace, the data processing agreement applies. It is part of these terms for every workspace.
If you are a member of a workspace, the work you do there is recorded for that company. Leaving a workspace closes your engagement; it does not erase the company's record of it.
05Hiring through the service
Companies can invite developers, hold interviews, send offer letters and have them signed here. LoudOwls is not a party to any of that: we are not the employer, an agency or an adviser, and an offer is between the company and the developer.
Signing an offer here is intended to be a valid electronic signature. Whether it is enforceable where you are is something to check for yourself.
06Plans and payment
Developer profiles, the record and the command-line tool are free to the person doing the work.
Workspaces have a free plan and paid plans charged per seat, monthly or yearly, at the prices and in the currency shown when you subscribe. Paid plans renew until cancelled. You can cancel at any time and the plan runs to the end of the period paid for; except where the law says otherwise, payments are not refunded. Prices can change with notice before your next renewal. Taxes are added where they apply.
07What is not allowed
- Faking work: scripted activity, somebody else's account, or anything else meant to make a record say what did not happen.
- Using another person's identity, or connecting an account that is not yours.
- Collecting other people's details from profiles in bulk, or contacting developers for anything other than genuine work.
- Breaking in, probing for weaknesses without our permission, or getting in the way of the service for others.
- Anything unlawful, or content that is abusive, hateful or infringes somebody else's rights.
We can remove content and suspend or close accounts that do these things.
08Your content, and ours
What you put in stays yours. You give us permission to store it, process it and show it as the service is meant to — to you, to your workspace, and to the public only where you chose that.
The service itself — the software, the design, the name and the mascot — is ours. Feedback you send us we may use without owing you anything.
09AI features
Some features produce text or drawings with a language model. They can be wrong. Check what they produce before relying on it; you are responsible for what you do with it.
10Availability and changes
We work to keep the service running and your data safe, but we do not promise it will never be interrupted. We may change or withdraw features; if we remove something you pay for, we will tell you first.
11Ending it
You can delete your account at any time. Deletion takes effect after 60 days, as the privacy policy describes, and the record a company holds of work done with it remains.
We can suspend or close an account that breaks these terms, or if we have to by law. Where we can, we will say why.
12Our responsibility to you
The service is provided as it is. To the extent the law allows, we give no warranties beyond what is written here, and we are not liable for indirect or consequential loss, lost profit, or decisions a company or developer makes because of what they saw on a profile.
To the extent the law allows, our total liability to you is limited to what you paid us in the twelve months before the claim. Nothing here limits liability that cannot be limited by law.
Some countries give consumers guarantees that cannot be signed away — the Australian Consumer Law is one, and consumer protection laws in Canada, the United States, the UAE and India are others. Where one applies to you, these terms do not exclude or limit it, and you keep any right to a remedy it gives you.
13Law and disputes
These terms are governed by the laws of India, and the courts of India at the place of LoudOwls's registered office have jurisdiction. If you are a consumer, this does not take away protections the law of your own country gives you, or any right you have there to bring a claim in your own courts.
Tell us first — [email protected] — and we will try to sort it out.
14Changes to these terms
If we change these terms in a way that matters, we will post the new version here and tell you by email before it takes effect. Carrying on using the service after that means you accept it.
